SysAid is committed to doing business worldwide ethically, free from corruption without exceptions, and in compliance with all applicable anti-corruption laws and expects its service providers to comply with the same high standards. Many countries in which SysAid does business have enacted Anti-Bribery and Anti-Corruption Laws and regulations such as the Foreign Corrupt Practices Act in the US (“FCPA”), Bribery Act in the UK (“UKBA”), and Clean Company Act in Brazil (“BCCA”). These laws and regulations share many similar requirements including extraterritorial applications but vary in certain respects. No employee may offer, seek, pay or accept a bribe, or other such advantage that may be construed as a bribe, in any form. Any approach from an external party soliciting a bribe or other advantage must be reported to the Company Secretary. Corporate hospitality may only be offered to or accepted from a third party if it is modest in value and in compliance with any applicable law.
